(a) A foreign limited liability company that conducts affairs in this state without registration is subject to a civil penalty payable to the state not to exceed $10,000 for each calendar year, including a partial year, the company conducts affairs in this state without being registered under this chapter. (b) The civil penalty imposed in (a) of this section may be recovered in an action brought in the superior court by the attorney general.
