(a) The provisions of §§ 4-28-201 - 4-28-206 and 4-28-209 - 4-28-224 relating to domestic corporations shall apply to: (1) All corporations organized hereunder; and (2) All not-for-profit corporations heretofore organized under any act hereby repealed, for the purposes for which a corporation might be organized under §§ 4-28-201 - 4-28-206 and 4-28-209 - 4-28-224. (b) The provisions of §§ 4-28-201 - 4-28-206 and 4-28-209 - 4-28-224 relating to foreign corporations shall apply to all foreign not-for-profit corporations conducting affairs in this state for purposes for which a corporation might be organized under §§ 4-28-201 - 4-28-206 and 4-28-209 - 4-28-224. However, §§ 4-28-201 - 4-28-206 and 4-28-209 - 4-28-224 shall not apply to any corporation whose membership is composed of corporations which file annual statements with a department or agency of this or some other state.Acts 1963, No. 176, § 3; A.S.A. 1947, § 64-1903.
