Section 4-38-911 - Withdrawal of registration of registered foreign limited liability company

(a) A registered foreign limited liability company may withdraw its registration by delivering a statement of withdrawal to the Secretary of State for filing. The statement of withdrawal must state: (1) the name of the company and its jurisdiction of formation;(2) that the company is not doing business in this state and that it withdraws its registration to do business in this state;(3) that the company revokes the authority of its registered agent to accept service on its behalf in this state; and(4) an address to which service of process may be made under subsection (b).(b) After the withdrawal of the registration of a foreign limited liability company, service of process in any action or proceeding based on a cause of action arising during the time the company was registered to do business in this state may be made pursuant to § 4-38-119.Added by Act 2021, No. 1041,§ 26, eff. 7/28/2021.
