Section 7-62-203 - Statement of dissolution

(1) Upon the dissolution of the partnership or at any time there are no limited partners, the partnership shall deliver to the secretary of state, for filing pursuant to part 3 of article 90 of this title, a statement of dissolution stating: (a) The domestic entity name of the limited partnership;(b) (Deleted by amendment, L. 2003, p. 2243, § 128, effective July 1, 2004.)(b.5) The principal office address of the limited partnership's principal office; and(c) That the partnership is dissolved.(d) and (e) (Deleted by amendment, L. 2004, p. 1441, § 127, effective July 1, 2004.)(2) The statement of dissolution shall not affect the limited liability of the partners during the period of winding up and termination of the partnership.L. 81: Entire article added, p. 438, § 1, effective November 1.
