A foreign limited partnership may cancel its registration by filing with the Secretary of the State a certificate of cancellation signed by a general partner. A cancellation does not terminate the authority of the Secretary of the State to accept service of process on the foreign limited partnership with respect to causes of action arising out of the transactions of business in this state.(P.A. 79-440, S. 52; P.A. 89-116, S. 10; P.A. 93-363, S. 25; P.A. 24-111, S. 9.)History: P.A. 89-116 added requirement of filing two signed copies or one signed copy and one conformed copy of certificate of cancellation; P.A. 93-363 changed 'two signed copies or one signed copy and one conformed' to 'a signed' copy; P.A. 24-111 deleted requirements that foreign limited partnership file signed copy of certificate sworn to by general partner, effective January 1, 2025.
