Section 14-3-630 - Rights and authority of delegates

(a) A corporation may provide for delegates having some or all of the rights and authority of members. Any such provision must be set forth in such corporation's articles or bylaws.(b) If the corporation's articles or bylaws provide for delegates, the articles or bylaws must set forth provisions relating to:(1) The characteristics, qualifications, rights, limitations, and obligations of delegates, including their selection and removal;(2) Calling, noticing, holding, and conducting meetings of delegates; and(3) Carrying on corporate activities during and between meetings of delegates.Amended by 2023 Ga.
