Many existing fa cilities are antiquated and are not fit for the purpose of public education. The Depa rtment of Education is in need of at least three (3) new publ ic schools with all the related civil and structural facilities and ameniti es customarily associated with a first rate public education facility. Speci fically, there is an immediate need to replace the John F. Kennedy (JFK) High School in Tumon, Guam and to build a modern facility on the s ite of the existing school. In an effort to overcome these financing h urdles and to provide for the educational needs of the students of Guam, I Liheslaturan COL5/19/20215 GCA GOVERNMENT OPERATIONS CH. 58A - Ma Kåhat Act of 2008 2 Guåhan desires to authorize the government of Guam to ente r into contracts for the financing, design, construction a nd long-term capital maintenance of the John F. Kennedy High School with private sector contractors who can provide long-term financing obt ained through tax- exempt obligations or other

T hese projects will constitute the first phase of a capital improvement plan approved by I Liheslaturan Guåhan to address Guam’s long term education, health, public safety and governmental needs. To facilitat e the financing, design, construction and maintenance of the facilit ies envisioned by this Act, the government of Guam will be authorized to l ease for up to thirty (30) years government of Guam property on which the facilities will be constructed. The lease of the government property will be to the contractor, who will design and construct the facil ities in accordance with specifications approved by Department of Educa tion, and provide funding for the design and construction through the use of tax-exempt obligations or other competitive alternative funding sources. The Contractor may coopera te with another entity or entities in any manner the Contractor deems approp riate to provide for the financing, design, construction or maintenance of the public school facilities envisioned by this Act .

(g) 'Lease-Back' shall mean the lease from the Contractor to the Education Agency. (h) 'Lease-Back Period' shall mean the term of the lease from the Contractor to the Education Agency. (i) 'Property' shall mean any property on which an Education Facility is located. § 58A104. Authorization to Enter into Long-Term Le ases . For the purpose of facilitating the financing of th e design, construction and maintenance of an Education Facili ty encompassed by this Act, the government of Guam or an Education Agency, as the case may be, is authorized to lease, if required, to the Contractor sufficient government of Guam real property on which

The Contract shall require that the Contractor be responsible for all costs, expenses and fees of any kind or nature, associated with the design, civil improvements, on-site and off-site in frastructure, construction, permits, and financing associated wit h the completion of an Education Facility, including the financing of furn iture and equipment for the Education Facility, as and to the extent pr ovided by the Education

The Lease-Back may pr ovide that if sufficient funds are not appropriated or otherwise available for the payment of amounts due under the lease and any main tenance agreement, the Education Agency will have the oblig ation to vacate the Education Facility, and the Contractor shall have the right of use and occupancy of the Education Facility for the remaind er of the term of the Lease, unless new mutually satisfactory terms are e ntered into. For this purpose, the Lease may provide that its term shall be extended for a period not to exceed the sh or ter of ten (10) years beyond the original term of the Lease-Back or such period of time as is necessary to repay in full any financing arranged pursuant to Section 58A 108.

Assignments . Use of Tax-Exempt Bonds for Financing. To minimize the financing cost to the Education Age ncy, financing utilized by the Contractor to fund the design and c onstruction of an Education Facility shall be through tax-exempt obligations or

Alternatively, the Contractor may use an alternative method of financi ng, including, but not limited to , a short term debt, mortgage, loan, federally guar anteed loan or loan by an instrumentality of the United States of America if such financing will better serve the needs of the people of Guam. Rental payments under the Lease and the Lease-Back may be secured by a pledge or other reservation of revenue s received by or on behalf of the government of Guam from the United St ates of America pursuant to Section 30 of the Guam Organic Act (48 U.S.C.A. Section 1421h). Any pledge or reservation of Section 30 rev enues authorized by the Act shall be subordinate only to the existing lien securing the Government of Guam Limited Obligation (Section 30) Bonds, Series 2001A. Any such pledge or reservation authorized he reunder shall be valid and binding from the time the pledge or reser vation is made and shall be limited to Six Million Nine Hundred Thousand Do llars ($6,900,000) per year during the Lease-Back Period. The Education Agency shall be responsible for the connection and payment of all utilities, including without limitat ion, power, water, sewer, telephone and cable, and all routine interio r maintenance and repair and exterior grounds keeping and landscaping and upkeep of the Education Facility. § 58A111. Maintenance Fund. Rules, Regulations and Restrictions . The Department of Public Works may promulgate rules and regulations pursuant to Guam law necessary to imple ment the provisions of this Act. § 58A113. Severability . If any provision of this Act or its application to any person or circumstance is found to be invalid or contrary

Approval of 2020 Certificates. I Liheslaturan Guåhan , pursuant to § 50103(k) of Title 12, Guam Code Annotated, hereby approves the terms and condi tions of the execution and delivery of the 2020 Certificates of Participation (John F Kennedy High School Project) (2020 Certificates) fo r the purpose of (a) refunding all or a portion of the 2010A Certificate s of Participation (John F. Kennedy High School Project) (prior certificates ); (b) financing costs of issuance; (c) financing any debt service reserve funds, or other reserves, if applicable; (d) financing capitalized interest, if applicable, in accordance with the following requirements, limitat ions, terms and conditions; and (e) financing additional capital im provements to an Education Facility,
