'Secretary' means the corporate officer to whom a board of directors has delegated responsibility under IC 23-17-14-1(b) for:(1) custody of the minutes of the meetings of a board of directors and members; and(2) authenticating the records;of a corporation.As added by P.L.179-1991, SEC.1.
