613.19 Personal liability. A director, officer, employee, member, trustee, or volunteer, of a nonprofit organization is not liable on the debts or obligations of the nonprofit organization and a director, officer,employee, member, trustee, or volunteer is not personally liable for a claim based upon anact or omission of the person performed in the discharge of the person’s duties, except foracts or omissions which involve intentional misconduct or knowing violation of the law, or fora transaction from which the person derives an improper personal benefit.
