(1) A foreign corporation authorized to transact business in this state must obtain an amended certificate of authority from the Secretary of State if it changes: (a) Its corporate name;(b) The period of its duration;(c) Any information required by Section 79-35-5(a); or(d) The state or country or its incorporation.(2) The requirements of Section 79-11-367 for obtaining an original certificate of authority apply to obtaining an amended certificate under this section.Laws, 1987, ch. 485, § 135; Laws, 2012, ch. 382, § 70, eff. 1/1/2013.
