Effective date of merger or consolidation. — A merger or consolidation with a domestic survivor or new domestic limited liability company is effective as of the later of: (1) The date the secretary files the notice of merger or consolidation for record; or (2) The date set forth in the notice of merger or consolidation, not to exceed ninety days after the notice of merger or consolidation is accepted for filing. -------- (L. 1993 S.B. 66 & 20 § 359.782, A.L. 2004 H.B. 1664)
