Title XXIII CORPORATIONS, ASSOCIATIONS AND PARTNERSHIPS Chapter 347 • Effective - 01 Dec 1993, see footnote 347.177. Construction of law — estoppel — agency — equity — no impairment of obligation of contract. — 1. Sections 347.010 to 347.187 shall be so applied and construed to effectuate its general purpose to make uniform the law with respect to the subject of sections 347.010 to 347.187 among the states enacting it. 2. The rule that statutes in derogation of the common law are to be strictly construed shall have no application to sections 347.010 to 347.187. 3. The law of estoppel shall apply to sections 347.010 to 347.187. 4. The law of agency shall apply under sections 347.010 to 347.187. 5. In any case not provided for in sections 347.010 to 347.187, the rules of law and equity shall govern. 6. Sections 347.010 to 347.187 shall not be construed so as to impair the obligations of any contract existing on August 28, 1993, nor to affect any action or proceedings begun or right accrued prior to August 28, 1993. ­­-------- (L. 1993 S.B. 66 & 20 § 359.822) Effective 12-01-93
