Title XXIII CORPORATIONS, ASSOCIATIONS AND PARTNERSHIPS Chapter 351 • Effective - 28 Aug 2004 351.060. Filing of articles of incorporation — certificate of incorporation. — 1. An original copy of the articles of incorporation signed by the incorporators as required in section 351.050 shall be delivered to the office of the secretary of state. If the secretary of state finds that the articles of incorporation conform to this chapter, he or she shall, when the required organizational taxes or fees have been paid, file the same, and an original shall be retained by the secretary of state as a permanent record. 2. The secretary of state shall then issue a certificate of incorporation under the seal of the state that the corporation has been duly organized.
