Title XXIII CORPORATIONS, ASSOCIATIONS AND PARTNERSHIPS Chapter 355 • Effective - 28 Aug 2009 355.706. Administrative dissolution, grounds. — The secretary of state may commence a proceeding under section 355.711 to administratively dissolve a corporation if: (1) The corporation does not pay within thirty days after they are due fees or penalties imposed by this chapter; (2) The corporation does not deliver its corporate registration report to the secretary of state within ninety days after it is due; (3) The corporation is without a registered agent or registered office in this state for thirty days or more; (4) The corporation does not notify the secretary of state within thirty days that its registered agent or registered office has been changed, that its registered agent has resigned, or that its registered office has been discontinued; (5) The corporation's period of duration, if any, stated in its articles of incorporation expires; or (6) The corporation has procured its charter through fraud practiced upon the state. ­­-------- (L. 1994 H.B. 1095, A.L. 2009 H.B. 481)
