§ 35-14-820

35-14-820. Meetings. (1) The board of directors may hold regular or special meetings in or out of this state. (2) Unless restricted by the articles of incorporation or bylaws, any or all directors may participate in any meeting of the board of directors through the use of any means of communication by which all directors participating may simultaneously hear each other during the meeting. A director participating in a meeting by this means is considered to be present in person at the meeting. (3) If requested by a director, minutes of any regular or special meeting must be prepared and be distributed to each director. History: En. Sec. 104, Ch. 271, L. 2019.
