'Franchise' means a written agreement between a manufacturer or distributor and a dealer by which: 1. A commercial relationship of definite duration or continuing indefinite duration is established. 2. The dealer is granted the right to offer and sell at retail new vehicles, other than mopeds, farm tractors or special mobile equipment. 3. The dealer constitutes a component of a distribution system for new vehicles. 4. The operation of the dealer’s business is substantially associated with the trademark, trade name, advertising or other commercial symbol designating a manufacturer or distributor. 5. The operation of a portion of the dealer’s business is substantially reliant on the manufacturer or distributor for a continued supply of new vehicles, parts and accessories.
