1. 'Reportable health care or health carrier transaction' means any transaction that: (a) Results in a material change to the business or corporate structure of a group practice or health carrier; and (b) As a result of the transaction, would cause a group practice or health carrier to provide within a geographic market 50 percent or more of any health care service, including, without limitation, a health care service involving a specialty, or any health carrier service. 2. The term does not include a transaction involving business entities which: (a) Are under common ownership; or (b) Have a contracting relationship that was established before October 1, 2021. 3. As used in this section, a 'material change to the business or corporate structure of a group practice or health carrier' includes, without limitation: (a) The merger, consolidation or affiliation of a group practice or health carrier with another group practice or health carrier; (b) The acquisition of all or substantially all of: (1) The properties and assets of a group practice; or (2) The capital stock, membership interests or other equity interest of a group practice or health carrier; (c) The employment of all or all of: (1) The properties and assets of a group practice; or (2) The capital stock, membership interests or other equity interest of a group practice or health carrier; (c) The employment of all or substantially all of the practitioners in a group practice; and (d) The acquisition of one or more insolvent group practices.
