564-F:3-302 Date of Formation. – (a) Unless the certificate of formation specifies a delayed effective time and date in accordance with RSA 564-F:3-301(c)(3) and (d), the foundation's existence begins upon the filing of its certificate of formation with the secretary of state. (b) The secretary of state's acceptance for filing of the certificate of formation is conclusive proof that the organizer satisfied all conditions precedent to the foundation's formation, except in a judicial proceeding by this state to revoke the foundation's formation or involuntarily dissolve the foundation.
