564-F:3-305 Amendment of the Certificate of Formation. – (a) Unless the governing documents provide otherwise, the founder or the directors may amend a foundation's certificate of formation by filing with the secretary of state a certificate of amendment. (b) The certificate of amendment shall set forth: (1) The foundation's name; and (2) The amendment to the certificate of formation. (c) A certificate of formation may be amended at any time in any respect so long as the certificate of formation as amended contains only provisions that lawfully may be contained in the certificate of formation at the time of making the amendment. (d) Any amendment to the certificate of formation shall be effective on the date on which the certificate of amendment is filed. (e) If the founder retained the power to direct the directors to amend the certificate of formation, then the directors shall have a duty to amend the certificate of formation in accordance with the founder's directions.
