564-F:3-306 Restated Certificate of Formation. – (a) Unless the governing documents provide otherwise, the founder or the directors may restate the foundation's certificate of formation by filing with the secretary of state a restated certificate of formation. (b) The restated certificate of formation shall set forth: (1) The foundation's name; and (2) The restatement of the certificate of formation. (c) The restated certificate of formation may contain one or more amendments to the certificate of formation as permitted in a certificate of amendment under RSA 564-F:3-305.
