294-A:22 Merger and Consolidation. – I. A professional corporation may merge or consolidate with another corporation, domestic or foreign, only if every shareholder of each corporation is qualified to be a shareholder of the surviving or new corporation. II. Upon the merger or consolidation of a professional corporation, if the surviving or new corporation is to render professional services in this state, it shall comply with this chapter.
