304-C:14 Member. – Unless the operating agreement provides otherwise, 'member' means a person who has been admitted to a limited liability company as a member as provided in RSA 304-C:53 or, in the case of a foreign limited liability company, in accordance with the laws of the state or foreign country or other foreign jurisdiction under which the foreign limited liability company is organized. A member does not include: I. A dissociated member. II. A member that has transferred or otherwise disposed of all of the member's membership rights. III. A member that has transferred or otherwise disposed of all of the member's membership rights except the member's limited liability company interest. Source. 2012, 232:2, eff.
