§ 304-c-82

304-C:82 Meetings of Managers. – I. Unless the operating agreement provides otherwise, meetings of managers may be held by means of conference telephone or other communications equipment by means of which all persons participating in the meeting can hear each other. Participation in a meeting under this paragraph shall constitute presence in person at the meeting. II. Unless the operating agreement provides otherwise, on any matter that is to be voted on by managers, the managers may take the vote without a meeting and without prior notice if the vote is recorded in a writing setting forth the action so taken and is signed by all of the managers. III. Unless the operating agreement provides otherwise, a vote transmitted by electronic transmission by a manager or by a person or persons authorized to act for a manager shall be deemed to be written and signed for purposes of this section. IV. For purposes of this section, the term 'electronic transmission' shall have the meaning set forth in RSA 304-C:60, V. Source. 2012, 232:2, eff. Jan. 1, 2013.
