304-C:96 Form of Distributions. – I. Unless the operating agreement provides otherwise, and in any case subject to the limitations provided in paragraph II, a member that has a right to a distribution, regardless of the nature of the member's contribution, has no right to demand and receive any distribution from a limited liability company in any particular form, including a cash or in kind distribution. II. Unless the operating agreement provides otherwise, a limited liability company shall not require a member to accept a distribution of any asset in kind to the extent that the percentage of the asset distributed to the member exceeds the percentage in which the member shares in distributions from the limited liability company.
