A partnership is bound by a partner’s act after dissolution that:\n(1) Is appropriate for winding up the partnership business; or\n(2) Would have bound the partnership under ORS 67.090 before dissolution, if:\n(a) The other party to the transaction did not have notice of the dissolution; and\n(b) The dissolution had not been advertised in a newspaper of general circulation in the place, or in each place if more than one, at which the partnership business is regularly carried on.
