The Foundation shall be constituted when its incorporators file its certificate of incorporation at the Offices of the Department of State of Puerto Rico. The affairs of the Educational Foundation shall be governed by a Board of Trustees. The members of the Board of Trustees shall be:(a) The Secretary of Education, as ex officio member with voice but no vote;(b) the President of the University of Puerto Rico, as ex officio member with voice and vote;(c) the Secretary of the Treasury, as ex officio member with voice but no vote, and(d) four private citizens of moral probity and recognized competence in the field of education, initially designated by the Governor. Subsequently, they shall be elected by the active members.Ex officio members shall serve for the term of their incumbency and the other four members shall be appointed for 2, 3, 4 and 5 years in the same order of their designation.The members of the Board who are not ex officio members shall be entitled to a per diem, as provided in the Regulations of the Foundation.Any vacancy shall be covered by the Board with a person of the same qualifications who shall be in office for the remainder of the term of the member who
