A close corporation shall be incorporated pursuant to §§ 3501—3503 of this title, except that:\n(a) Its certificate of incorporation shall contain a heading stating the name of the corporation and that it is a close corporation, and\n(b) its certificate of incorporation shall contain the provisions required by § 3823 of this title.\nHistory —Dec. 16, 2009, No. 164, § 14.04.
