Any corporation organized under the provisions of this subtitle may become a close corporation as provided in this chapter by executing, authenticating, filing, and recording a certificate of amendment to its certificate of incorporation, pursuant to § 3503 of this title, which shall contain the following:\n(a) A statement that such corporation has elected to become a close corporation;\n(b) the provisions required by § 3823 of this title to be stated in the certificate of incorporation of a close corporation, and\n(c) a heading stating the name of the corporation and that it is a close corporation.\nSuch amendment shall be adopted in accordance with the requirements of §§ 3681 and 3682 of this title, except that such amendment must be approved by the vote of the holders of record of at least two-thirds (⅔) of each class of capital stock of the corporation issued and outstanding.\nHistory —Dec. 16, 2009, No. 164, § 14.05.
