(a) Persons who are not regular members of the special corporation may be appointed to positions as directors thereof, provided they do not exceed one-third (⅓) of the total number of directors.\n(b) Not less than two-thirds (⅔) of the officers must be regular members of the corporation employed in the fields of production or rendering of services of the corporation; Provided, That all officers shall be members of the special corporation.\n(c) No person may hold more than one (1) office as officer of the corporation.\n(d) Directors shall be elected annually by the assembly of members and no director shall hold that office for more than three (3) consecutive terms. This restriction may be dispensed with in extraordinary situations by the affirmative vote of two-thirds (⅔) of the total number of the class of members that elected the director.\nHistory —Dec. 16, 2009, No. 164, § 16.06.
