(a) Except as otherwise provided by this subtitle, the debts, obligations and liabilities of an LLC, whether arising in contract, tort or otherwise, shall be solely the debts, obligations and liabilities of the LLC, and no member or manager of an LLC shall be obligated personally for any such debt, obligation or liability of the LLC solely by reason of being a member or acting as a manager of the LLC.\n(b) Notwithstanding the provisions of subsection (a) of this section, under an LLCA or under another agreement, a member or manager may agree to be obligated personally for any and all of the debts, obligations and liabilities of the LLC.\nHistory —Dec. 16, 2009, No. 164, § 19.19.
