The Secretary of the Board of Directors of the Institute shall have the following duties and powers:(1) Prepare the summons to the meetings of the Board of Directors, of the Institute and of the auxiliary committees, as well as for public hearings, and distribute the summons in the manner provided in this chapter or the regulations adopted pursuant thereto;(2) enter the minutes of the meetings of the Board of Directors and of the Institute in the corresponding book;(3) certify, jointly with the Executive Director, the minutes of every meeting of the Board of Directors and of the Institute;(4) issue, according to the book of minutes, all necessary certifications with the approval of the Executive Director or the Board of Directors of the Institute;(5) inform all members of the Board of Directors and of the Institute who had been absent from any duly summoned meeting, about all resolutions adopted in the manner provided by this chapter or in the regulations adopted pursuant thereto;(6) have custody over and make available to any member of the Board of Directors or of the Institute or to any interested party, all documents concerning the meetings of the Board of Directors or of the
