No investment company shall be registered or, if registered, make a public offering of securities of which such company is the issuer, unless:(a) Such company has a net worth of at least one hundred thousand dollars ($100,000), or(b) such company has previously made a public offering of its securities, and at the time of such offering had a net worth of at least one hundred thousand dollars ($100,000), or(c) The Commissioner has expressly exempted it from the initial net worth requirement.
