The damage suffered by the copartnership by reason of malice, abuse of authority, or serious negligence of duty on the part of one of the partners, shall obligate the person guilty thereof to indemnify it, should the other partners request it, provided an express or virtual approval or ratification of the act on which the claim is based cannot be deduced in any manner whatsoever.\nHistory —Commerce Code, 1932, § 121.
