Section 61-3-1010 - Reinstatement of foreign limited partnership

(a) If the registration of a foreign limited partnership is administratively revoked pursuant to § 61-3-1009, the partnership may apply to the secretary of state for reinstatement following the administrative revocation. The application must:(1) State the name of the foreign limited partnership at the time of the revocation of the foreign limited partnership's registration;(2) State a name for the limited partnership that satisfies § 61-3-112; and(3) State that the grounds for revocation of the foreign limited partnership's registration did not exist or have been eliminated.(b) If the secretary of state determines that the application is accompanied by a confirmation of good standing with the department of revenue and contains the information required by subsection (a), and that the information is correct, then the secretary of state must cancel the certificate of revocation and prepare a certificate of reinstatement that recites the secretary of state's determination and the effective date of reinstatement, file the original of the certificate, and serve a copy on the foreign limited partnership.

Service of the copy may be made by first class mail.(c) If the foreign limited partnership name in subdivision (a)(1) is different than the foreign limited partnership name in subdivision (a)(2), the application for reinstatement must constitute an amendment to the registration insofar as it pertains to the foreign limited partnership's name.(d) When reinstatement is effective, reinstatement relates back to and takes effect as of the effective date of the administrative dissolution, and the foreign limited partnership resumes carrying on its business as if the administrative dissolution had never occurred.Amended by 2018 Tenn.
