(a) Except as provided by Subsection (b), six voting directors constitute a quorum of the board.(b) If the board is composed of an odd number of directors, a majority of the voting directors constitutes a quorum.(c) Nonvoting directors and vacant director positions are not counted for the purposes of establishing a quorum of the board.
