(a) The board shall elect a president, vice president, secretary, and any other officers the board considers necessary at the board's first meeting:(1) in September of each year; or(2) after the annual vacancies are filled as provided by this subchapter and the newly appointed directors are qualified.(b) When the president is absent or fails or declines to act, the vice president shall perform all duties and exercise all power this chapter or general law gives the president.
