§ 8364.052

(a) At any time, the board may by resolution:(1) appoint a nonvoting ex officio director to serve at the pleasure of the board; and(2) remove an ex officio director.(b) An ex officio director:(1) is entitled to all notices and information given to and accessible to a director; and(2) may attend and participate in any board meeting.
