(a) A quorum of a board is the lesser of:(1) a majority of:(A) the membership of the board under the bylaws; or(B) if the bylaws do not provide the membership of the board, the membership of the board under the articles of incorporation; or(2) the number, which must be more than two, set as the quorum by the articles of incorporation or the bylaws.(b) An act of the majority of the directors present at a meeting at which there is a quorum is an act of the board, unless the act of a greater number is required by the articles of incorporation or the bylaws.
