Texas Legal Code
(a) Three originals of the articles of amendment shall be delivered to the secretary of state.(b) The secretary of state shall determine whether the articles of amendment conform to this chapter. On determination that the articles conform to this chapter and on receipt of a $25 fee, the secretary of state shall:(1) endorse on each original the word 'filed' and the date of the filing;(2) file one of the originals in the secretary's office;(3) issue two certificates of amendment;(4) attach to each certificate one of the originals; and(5) deliver a certificate of amendment and the attached articles of amendment to:(A) the corporation or its representative; and(B) the commission.(c) On the issuance of the certificate of amendment, the amendment is effective and the articles of incorporation are amended accordingly.
