Texas Legal Code
(a) A corporation may:(1) restate the entire text of the articles of incorporation as amended or supplemented by all certificates of amendment previously issued by the secretary of state; and(2) as part of the restatement, make additional amendments to the articles.(b) A restatement under this section must:(1) state that any additional amendment to the articles of incorporation conforms to this chapter;(2) contain any statement required by this subchapter for articles of amendment except that the full text of any additional amendment is not required to be presented other than in the restatement itself;(3) contain a statement that:(A) the restatement is an accurate copy of the articles of incorporation and all amendments to the articles that are in effect and all additional amendments made to the articles; and(B) the restatement does not contain any other change; and(4) restate the text of the entire articles of incorporation as amended or supplemented by all certificates of amendment previously issued by the secretary of state and as additionally amended by the restated articles of incorporation.
