The corporate existence ends on the issuance of the certificate of dissolution except for:(1) the purpose of any ongoing suit or other proceeding; and(2) corporate action by a director or officer under this chapter. Acts 1995, 74th Leg., ch. 165, Sec. 1, eff. Sept. 1, 1995.
