Bylaws; recordation The bylaws of the corporation shall be recorded in the office of the Clerk, and the Clerk’s certificate that such bylaws were adopted at an annual meeting of the corporation or at a special meeting thereof, called for that purpose, shall be prima facie evidence of such fact in any court in this State; and certified copies of the bylaws and Clerk’s certificates shall also be received as evidence in all the courts of the State.
