(a) One or more persons may organize a limited liability company, consisting of one or more members, by delivering articles of organization to the office of the Lieutenant Governor for filing.\n(b) Unless a delayed effective date is specified, the existence of a limited liability company begins when the articles of organization are filed.\n(c) The filing of the articles of organization with the office of the Lieutenant Governor is conclusive proof that the organizers satisfied all conditions precedent to the creation of a limited liability company.\n(d) Original articles of organization may contain the election of a limited liability company to be treated as an exempt company pursuant to section 853 of this Title, but no such election may be made by amending articles of organization.
